User Agreement
Last updated: 2026-11-05
This agreement sets out your rights and duties when you use Banshao, including the website, the dashboard and the app. Banshao records working time and takes screenshots of employees, so please read it in full before you start. This agreement and the related documents are not legal advice.
1. Definitions
In this agreement:
- “Service” means the Banshao website banshao.net, the dashboard, the employee area, the desktop app and their interfaces.
- “We” and “us” mean the operator of the Banshao service.
- “Company” means the organisation or person that registers a company account and uses the service.
- “Owner”, “manager”, “team lead” and “employee” are the roles in section 3. “User” means a person in any of those roles.
- “Company data” means data created through the service or supplied by the company, including hours, breaks, screenshots, window titles, idle time, device details, IP records, employee details, teams and notes.
- “Shift” means the time from when an employee clicks “Clock in” until they clock out or the shift ends.
2. Acceptance and who may use the service
By registering a company account, accepting an employee invitation or installing the app, you agree to this agreement and the privacy policy. If you do not agree, please do not use the service.
If you register or manage an account on behalf of a company, you confirm that you have the authority to bind it to this agreement. Actions and agreements made by the owner and managers count as the company's own.
Users must be at least 18 years old, or the age of majority where they live if that is higher. A company must not invite or record anyone younger.
Employees use the service through their company's account and do not take on the company's fees, indemnity or duties by accepting this agreement. An employee's acceptance only shows they know the rules of the service. It does not replace the notice the company must give them, and it is not the company's lawful basis for recording.
3. Accounts, roles and security
The service has these roles:
- Owner: the person who registers the company. Handles billing, settings, employees and roles, and is responsible for everything done under the account, including what managers do. Nobody can remove or demote the owner, and only the owner can close the company.
- Manager: has the same rights as the owner, including billing, settings, employees, teams and other managers, and can see all company data. The only exceptions are removing or demoting the owner and closing the company.
- Team lead: can view hours and screenshots of the members of the teams they lead, and can invite new people to those teams. One person can lead several teams and cannot see other teams' data.
- Employee: can view only their own hours, screenshots and sign-in records.
Our platform administrators can view a company's dashboard in read-only mode for support and maintenance, including the hours and screenshots in it. This mode cannot change anything and is logged.
Keep your password safe and do not share your account. Each employee can be signed in to the app on one device, and signing in on a new device signs out the old one. If you think someone else has used your account, change the password at once and tell the owner and us.
Your registration details must be true and kept up to date. The company should promptly change a person's access when they leave or change role.
4. The service and your licence
Banshao provides clock-in and clock-out records, scheduled screenshots, idle time, hours reports and a web dashboard. The app runs on Windows and on Macs with Apple silicon.
As long as you follow this agreement and pay on time, we grant the company and its users a limited, non-exclusive, non-transferable, revocable licence to use the service, and to install and run the app, for managing working time inside the company.
You may not modify, reverse engineer or redistribute the app, except where the law expressly allows. The app may update itself. You can quit or uninstall it at any time; please clock out first, as screenshots not yet uploaded may be lost.
5. What is recorded
Recording starts only after an employee clicks “Clock in” in the app; the app never clocks in by itself, even when set to open with the computer. Recording stops at “Take a break” or “Clock out”. When a timed break ends the app only reminds the employee; hours and screenshots resume only after they click “Resume”, and time over the limit still counts as break.
During a shift the following is recorded:
- Clock-in, clock-out and break times.
- Screenshots at the interval the company sets, by default about every 3 minutes with a random ±20% variation. Each capture covers only the screen that holds the app window; moving the window to another screen changes which screen is captured.
- The title of the active window (on a Mac, also the app name). That window may not be on the captured screen, and its title may contain file names, web page titles or email subjects.
- Seconds of keyboard and mouse inactivity. This is only a duration, with no keystroke content.
- The device name, operating system and app version at app sign-in.
- The IP address and time of each successful sign-in on the website or in the app and of each clock-in, kept for 90 days.
The service does not record keystroke content, the microphone or the camera, and does not capture other screens. A screenshot contains everything on that screen at that moment.
If the network drops, screenshots are kept on the computer, up to 200, and sent when it returns. While the app is open but off shift or on a break, it still sends a periodic connection signal; the server uses it to update when the device was last seen, and does not store the window title or idle time contained in that signal. A shift ends automatically after a long time without a signal, and the owner or a manager can also end it.
6. The company's responsibility for recording
Whether to record, whom to record, for how long and why are all decided by the company. The company is the party that decides on monitoring; we only provide the tool according to its settings.
The company alone is responsible for making sure its use is lawful, including having a lawful basis before recording, giving employees clear notice, and obtaining valid consent where the law requires it. Which laws apply depends on where the company and its staff are and on the work, and may include labour, privacy and data protection laws such as the EU General Data Protection Regulation (GDPR), Vietnam's personal data protection law and China's Personal Information Protection Law (PIPL).
These examples are illustrations only. They are not a complete list and not legal advice. We do not judge whether any company's use is lawful, and we do not state that the service meets any law or certification. The company should consult its own lawyer where needed.
The company must also: use the service only to manage working time; record only its own staff or contractors; set a reasonable screenshot interval and retention period; give the team lead and manager roles only to suitable people and tell the employees concerned; handle employees' questions and requests; and, if we ask, tell us its lawful basis and how it gave notice.
7. What employees should know
During a shift the app takes screenshots at regular intervals and records window titles, idle time and the device name. The owner, managers and the leads of your team can see this, and platform administrators can view it in read-only mode for support and maintenance.
Each successful sign-in on the website or in the app, and each clock-in, also records the IP address and time, kept for 90 days. The owner and managers can see these records, and so can you on your account page. Team leads cannot.
Before handling private information, passwords or other sensitive content, click “Take a break” or “Clock out”, or move it to another screen. Moving it only affects screenshots: the window title comes from the active window, which may be on another screen.
You can sign in on the web to see your own hours and screenshots. To correct or delete data, or if you object to the recording, please contact your company first, because the company decides on and manages this data.
8. Acceptable use
You must follow the Acceptable Use Policy (/acceptable-use), which is part of this agreement. You must not use screenshots or data for harassment, discrimination or extortion, or for any purpose other than managing work. You must not attack or disrupt the service, access another company's data, get around seat or payment limits, or resell the service.
9. Prohibited monitoring
The following are strictly prohibited, and we may suspend the account concerned at once if we find them:
- Covert monitoring: using the service without the person knowing, hiding or disguising the app, or clicking “Clock in” for someone else.
- Monitoring minors, family members, partners, students or anyone else who is not your employee or contractor.
- Recording someone's personal device without that person's consent and any other condition the law requires.
- Recording in a place, at a time or in a situation where the law forbids it, or continuing after an employee has clearly objected where the law gives them the right to refuse.
10. Fees and taxes
The service is prepaid per seat per month in USDT (TRC-20), at the price shown on the website and the invoice, and a month counts as 30 days. Each active employee, the owner and each manager use one seat; one person in several roles counts once. Trial length is as shown at signup, with no seat limit and no payment during the trial.
Paying for 12 months or more earns the discount shown on the website and the invoice. Seats added during a period cost “seats × price × days left ÷ 30”, with part of a day counted as a day, and do not change the expiry date; if the current plan was paid annually, added seats get the discount too. See the Refund and Billing Policy (/refund).
Unless the invoice says otherwise, prices exclude all taxes. The company is responsible for reporting and paying any tax, withholding or similar charge on its purchase, and for network fees on its transfers.
We may change prices. A price change does not affect periods already paid for.
11. Payment errors and cryptocurrency
Pay exactly to the address, network and amount shown on the invoice. The amount includes a small suffix (under 0.1 USDT) that identifies your payment, and only a transfer of the exact amount within the invoice's validity is confirmed automatically. The plan activates once the transfer is confirmed on the blockchain.
Blockchain transfers are irreversible, and there is no chargeback or reversal. Money sent to the wrong address or network, or in the wrong amount, may not be recoverable. If something goes wrong, send us the transaction hash (TxID). We will check it and may process it by hand if we can verify it, but we do not promise that it can be recovered or applied.
The value of crypto assets can change and transfers can be delayed. You are responsible for the security of your wallet and for local rules on crypto assets.
12. Refunds
Periods already activated are generally not refundable, including if you close the company early, reduce staff or do not use the service, unless the law says otherwise. See the Refund and Billing Policy (/refund) for details.
13. Expiry, screenshot lock and suspension
When a trial or paid period expires without renewal, viewing screenshots is locked at once for the whole company and every role, and unlocked after renewal. Recording continues during the grace period, and screenshots from that time can also be viewed after renewal.
After the grace period the service is suspended: only billing and other essential dashboard pages stay available, employees cannot sign in on the web, and the app can no longer record. Paying restores the service.
During a lock or suspension the retention period keeps running: screenshots and window-title records older than the company's setting are still deleted on schedule, and renewing does not restore them. If a suspension lasts a long time without renewal, we may delete the company account and its data after reasonable notice.
We may suspend or terminate an account that breaks this agreement or the law, or that puts the security of the service at risk. We will give notice first where we reasonably can. This kind of suspension is not lifted automatically by payment.
14. Termination, export and deletion
Hours reports can be exported as CSV at any time. The owner can close the company at any time in settings, which is also how all data is exported: employees stop recording at once, pending invoices are cancelled, and employees, teams, hours and breaks, sign-in IP records, invoices and all screenshots are packed into a ZIP file for download.
24 hours after the download finishes, or when the owner confirms the file is saved, or 7 days after packing finishes if it is never downloaded, the company account and all its data are permanently deleted and cannot be restored. Closing can be cancelled until the deletion starts. Data in server backups disappears within 3 days. Paid time is not refunded, unless the law says otherwise.
After deletion, only items no longer linked to the company remain: public blockchain transaction records, reconciliation records of manually confirmed payments, and one closure log entry that contains only the company's number.
When the owner or a manager deletes an employee, that person's hours, screenshots, device and sign-in and clock-in records are permanently deleted at once and cannot be restored, and any manager account with the same email is deleted too. Data already in backups may remain for up to 3 days, until those backups expire.
The company can stop using the service at any time. After termination, the terms that by their nature should continue stay in force, including payment, data, intellectual property, confidentiality, disclaimers, limits on liability, indemnity and governing law.
15. Data and intellectual property
Company data belongs to the company, and we process it according to its settings. Screenshots are kept for the number of days the company sets, by default 14 and at most 90, and are then deleted automatically. See the privacy policy and the Data Processing Terms (/dpa), which are part of this agreement.
We do not sell this data or use it for advertising. You give us the permission needed to provide, maintain and protect the service.
The intellectual property in the service, the app, the interface, the name and the logo belongs to us or our licensors, and this agreement does not transfer it. If you send us suggestions or feedback, we may use them freely, with no payment or other obligation to you.
16. Third-party services
The service relies on third parties, including cloud hosting providers, Cloudflare, Telegram, TronGrid and the TRON blockchain, and recipients' email providers. The privacy policy lists them and what they are used for. We do not control them and are not responsible for their services, failures or terms, unless the law says otherwise.
17. Confidentiality
Each party must keep the other's non-public information confidential, use it only to perform this agreement and protect it with reasonable measures. Company data is the company's confidential information. This does not cover information that is public, obtained independently, or that the law or a competent authority requires to be disclosed; where allowed, the disclosing party must tell the other first.
18. No warranty
The service and the app are provided “as is” and “as available”. To the fullest extent the law allows, we give no warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, freedom from errors or absolute security of data.
We do not promise that hours, screenshots, idle time or window titles are perfectly accurate or complete: the network, system permissions, device state and clocks can all cause errors or gaps. The company must check for itself before making pay, disciplinary or personnel decisions, and must not base them on these records alone. See the Disclaimer (/disclaimer).
19. Limit of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill or data, even if we were told it might happen.
Our total liability for all claims relating to this agreement or the service is limited to the fees the company actually paid in the 12 months before the event that gave rise to the liability.
This section does not exclude or limit liability that the law does not allow to be excluded or limited, including liability for fraud or wilful misconduct under applicable law and mandatory rights the law gives consumers or individuals.
20. Indemnity
The company is responsible for the lawfulness of its own use of the service. The company must indemnify us and hold us harmless against claims, penalties, losses and reasonable costs arising from its monitoring or its data, including those brought by employees or authorities and those caused by failing to give notice, have a lawful basis or obtain consent, and arising from its breach of this agreement, except where the law does not allow this.
We will tell the company promptly about any such claim and cooperate reasonably, at the company's reasonable cost.
21. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, war, government action, network or power outages, third-party service failures, cyberattacks and blockchain network problems. This does not excuse payment obligations, unless the law says otherwise.
22. Changes to the service and to this agreement
We may add, change or remove features. We will try to give advance notice of major adverse changes. If we permanently shut down the whole service, we will give reasonable notice so that the company has time to export its data.
We may update this agreement and will post the new version and date on this page. We will announce major changes in the service or by email, in advance unless they must take effect at once for legal or security reasons. When you sign in to the dashboard or the employee area, you may need to confirm the new version before you continue; until then you can still read the documents, manage billing or sign out, and the owner can still close the company and export its data.
If you do not agree with a new version, stop using the service. Continuing to use the service after an update takes effect, including continuing to use the app, means you accept the new version. Price changes do not affect periods already paid for.
23. Governing law and disputes
This agreement is governed by the law of the place where the operator is established, unless mandatory local law says otherwise. Disputes should first be resolved by good-faith discussion; failing that, they go to the competent court or other competent body of that place. This section does not affect rights you have under mandatory law where you are.
24. General
Severability: if a term is held invalid, the other terms stay in force and that term applies as far as allowed. Waiver: not exercising a right does not mean giving it up.
Assignment: you may not transfer this agreement without our written consent. We may transfer it to a successor of the service or an affiliate, and will tell the company.
Entire agreement: this agreement and the policies it mentions (privacy policy, acceptable use, refund and billing, data processing terms, disclaimer) are the whole agreement between the parties about the service and replace earlier versions and arrangements.
Language: this agreement exists in Chinese, Vietnamese and English. If the versions differ in meaning, the Chinese version prevails, unless mandatory local law says otherwise.
25. Contact
